Board of directors and number of directors
: (1) The appointment of directors of private companies and their number shall be as provided in the regulations. But the number of directors will not exceed eleven.
(2) Every public company shall have a board of directors with a minimum of three and a maximum of eleven directors. There should be at least one female director in the board of directors of a public company with female shareholders.
(3) When the board of directors is formed according to sub-section (2), among the persons who have the qualifications specified in the company's regulations and who have acquired knowledge and experience in matters related to the business of the respective company, at least one person should be appointed as independent director if there are up to seven directors and if there are more than seven directors, at least two persons shall be appointed as independent directors. .
(4) A director chosen by the directors from among themselves shall be the chairman of the board of directors.
